Terms of Service

1. Acceptance of Terms

By accessing or using OpenClaw Cloud, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service.

You must be at least 18 years of age to create an account and use OpenClaw Cloud. By creating an account, you represent that you meet this age requirement.

2. Service Description

OpenClaw Cloud provides AI agent hosting and management services. The platform enables you to deploy, configure, and manage AI agents that can perform tasks on your behalf.

  • Agents may run on shared Kubernetes infrastructure, dedicated virtual machines, or user-owned hardware.
  • The platform includes a marketplace for agent roles and identities.
  • Features, capabilities, and infrastructure may change as the platform evolves.

3. Account Responsibilities

When you create an account, you agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your password and account credentials.
  • Accept responsibility for all activity that occurs under your account.
  • Notify us immediately of any unauthorized access to your account.

4. Acceptable Use

You agree not to use OpenClaw Cloud for any unlawful or prohibited purpose. Specifically, you must not:

  • Use agents to conduct illegal activities or generate illegal content.
  • Engage in spam, harassment, abuse, or any activity that disrupts others.
  • Attempt to circumvent rate limits, security measures, or access controls.
  • Resell or redistribute access to the service without an Enterprise agreement.
  • Violate the terms of any AI provider (Anthropic, OpenAI, Google, etc.) used through the platform.

5. Subscriptions & Payments

  • Subscription plans are billed monthly or annually. Payments are processed by Lemon Squeezy, our Merchant of Record.
  • Prices are listed in USD and may change with at least 30 days prior notice.
  • Token overages beyond your plan allowance are billed separately.
  • No refunds are provided for partial months. Downgrades are prorated.

6. Bring Your Own Key (BYOK)

OpenClaw Cloud allows you to use your own API keys from supported AI providers (e.g., Anthropic, OpenAI, Google).

  • We are not responsible for any charges incurred on your provider accounts when using your own keys.
  • You are responsible for complying with your provider's terms of service and usage policies.
  • API keys are stored securely and used only to process your agent requests.

7. Intellectual Property

You retain full ownership of your agent data, files, configurations, and any content created by your agents.

OpenClaw Cloud retains ownership of the platform, system roles, and marketplace infrastructure. User-created roles published to the marketplace remain the property of the creator, who grants OpenClaw Cloud a license to distribute them via the marketplace.

8. Data & Privacy

Your use of OpenClaw Cloud is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

We do not access your agent data except for debugging purposes (with your explicit consent) or when required by law.

9. Service Availability

  • We aim for 99.9% uptime but do not guarantee it, except where an Enterprise SLA is in place.
  • Scheduled maintenance will be communicated in advance whenever possible.
  • We are not liable for outages caused by third-party AI providers or external services.

10. Limitation of Liability

The service is provided "as is" and "as available" without warranties of any kind, either express or implied.

OpenClaw Cloud is not liable for actions taken by AI agents, AI model outputs, or any downstream consequences resulting from the use of agents.

Our maximum aggregate liability is limited to the total fees you have paid to OpenClaw Cloud in the 12 months preceding the claim.

11. Termination

  • You may cancel your account at any time through your account settings.
  • We may terminate or suspend your account for violation of these terms.
  • Upon termination, your data will be preserved for 30 days. After this period, all data will be permanently deleted.

12. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated with at least 30 days notice. Continued use of the service after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OpenClaw Cloud's operating entity is registered. The specific jurisdiction will be determined upon company registration.
